New York partner focuses on structured finance and securitization, along with investment funds and cryptocurrencies.
Cadwalader, Wickersham & Taft LLP has bolstered its Tax Group with the addition of partner Jon P. Brose in New York.
Brose becomes the newest partner arrival at Cadwalader, which has had an active year in partner additions. His arrival follows the recent addition of partners Peter Malyshev and Mercedes Tunstall in Financial Services, Angela Batterson in Finance, Helen Maher in Global Litigation, Matthew Smith and Bevis Metcalfe in European leveraged finance and private credit, and Kiran Kadekar and Michael Bergmann in Corporate.
Brose advises on tax issues relating to CLOs, CDOs and other structured finance and securitization vehicles. In this capacity, he has represented managers, underwriters, issuers and placement agents. He also provides tax advice regarding securities offerings, structured products, derivatives and other financial instruments, repurchase agreements, credit facilities, and partnerships and other joint ventures, as well as a variety of other commercial transactions and capital markets activities.
In addition, Brose represents investment funds (including hedge funds, funds of funds, and private equity funds) and their managers on all aspects of their businesses, including management entity and fund formation, seeding arrangements, mergers and acquisitions, partnership tax issues, international tax issues, compensation arrangements, and ongoing investment activities and transactions. He is experienced with a broad range of investment strategies and asset classes, including long/short equity, credit, distressed asset, commodities, cryptocurrencies and real estate.
“For a firm like ours, with market-leading capabilities in structured finance and securitization, this has been an incredibly busy and demanding time,” said Cadwalader managing partner Pat Quinn. “Jon has exactly the experience our clients are seeking and expect from our firm. We are very excited to add him to our outstanding Tax Group.”
Added Tax Group chair Linda Swartz, “Jon provides considerable depth to our structured finance and securitization work, along with the kind of well-rounded tax expertise that has long been a hallmark of our firm and our department. What’s more, he adds depth in the growing area of cryptocurrency – an area of increasing interest on the part of our clients.”
Brose joins Cadwalader from Seward & Kissel, where he was a partner.
“Activity levels with CLOs and funds are nearing record levels, and questions about and guidance on cryptocurrency are picking up dramatically,” Brose said. ”There is high demand for tax compliance and other tax guidance.”
