March 04, 2025

Cadwalader represented Värde Partners, a global alternative investment firm, and one of its portfolio companies, Trimont, in the latter’s acquisition of Wells Fargo’s non-agency third-party commercial mortgage servicing (CMS) business, the largest servicer of securitized debt in the United States.

The deal, which was completed on March 1, positions Trimont as the nation’s largest loan servicer, managing a combined $700 billion of loans in the United States, equivalent to approximately 11% of the U.S. commercial real estate lending market.

The Cadwalader team was led by partner Jeffrey Rotblat and included partner Lisa Pauquette, special counsel Doug Arborio and Ron Lanning, and associate Nicole Schapira (Capital Markets), with invaluable contributions from partner Jed Miller and counsel Michael Ena (Financial Services); partner Kathryn Borgeson and associate Alex Strom (Financial Restructuring); partner Gary Silverstein and associate Maggie Leccese (Tax); and senior counsel Chris McDermott and associate James McDonnell (Finance).
