Adam Tamzoke is an associate in Cadwalader's Corporate Group, focusing on complex corporate transactions. His practice regularly includes domestic and cross-border mergers and acquisitions, joint ventures, securities offerings, corporate finance transactions, and general corporate representation. In addition, Adam specializes in, and regularly advises clients on, corporate governance, shareholder activism and defense, and takeover preparedness and defense matters. His experience spans a broad spectrum of industries, including technology, media, entertainment, energy, real estate, manufacturing, telecommunications, healthcare, pharmaceuticals and biotech, transportation, asset management, consumer goods, and retail. Adam routinely advises both foreign and domestic clients, including public and private companies, hedge funds, financial institutions, investment funds, and private equity firms. Adam received his J.D. from Indiana University Maurer School of Law, his M.P.A. from Indiana University O’Neill School, and his B.A. from Rutgers University.
Adam has advised clients on several notable matters, most recently including the representation of:
- Adiumentum Capital Fund I LP in its investment in Atara Biotherapeutics, Inc., which included Adiumentum’s participation in a registered direct offering of Atara’s common stock and pre-funded warrants and the addition of Adiumentum’s founder and managing partner Gregory A. Ciongoli to Atara’s board of directors.
- Ashford Inc. in implementing a Rule 13e-3 “going private” transaction to delist and deregister Ashford’s common stock.
- Braemar Hotels & Resorts Inc. in its proxy contest and entry into a cooperation agreement with Blackwells Capital LLC.
- Sphinx Investment Corp. in its investment in OceanPal Inc.
- Mithaq Capital, a Riyadh-based family office, in its unsolicited acquisition, over the course of three days, of a controlling stake in The Children’s Place, Inc., its successful effort to replace a majority of the board with its own designees, and its provision of Sharia-compliant rescue financing to the company.
- ValueAct Capital in its investments in various companies.
- The Howard Hughes Corporation in connection with its implementation of a tax-free holding company reorganization.
- Pura Vida Investments in its successful effort to appoint four new directors to the board of Cutera, Inc.
- Veris Residential, Inc. in its disposition of certain major assets comprising part of its Harborside portfolio on the New Jersey Waterfront.
- Mantle Ridge LP in its investment in Dollar Tree, Inc. and successful effort to add seven new directors, including Paul Hilal, to the company’s board and install Rick Dreiling as executive chairman.
- Politan Capital Management on its investment in Centene Corporation and successful effort to add five new directors to the company’s board.
- Forbes Media in its proposed business combination transaction with Magnum Opus Acquisition Limited.
