Andrew J. O’Brien focuses his practice on all aspects of executive compensation and employee benefits matters, with an emphasis on strategic mergers and acquisitions, complex leveraged buyouts and other significant business transactions. He regularly advises public and private companies, management teams and individual senior executives on executive employment and separation arrangements, and on the design and implementation of cash and equity incentive compensation agreements and non-qualified retirement programs.

Andrew’s experience prior to joining Cadwalader includes representing:

  • Blackstone in its acquisition of the cybersecurity and intelligence business from Raytheon Technologies;
  • Cvent Inc. in its acquisitions of iCapture and Jifflenow;
  • The National Football League in its negotiation of Roger Goodell’s contract renewal;
  • The management team of Charter Next Generation in its sale to KKR;
  • The management team of TripleLift in its sale to Vista Equity Partners;
  • The CEO of Centric Brands regarding his employment and equity negotiations with The Blackstone Group; and
  • The management team of The Hilb Group in their sale to The Carlyle Group.

Prior to joining Cadwalader, Andrew advised on executive compensation and employee benefits matters at leading law firms and private equity firms, including The Blackstone Group.

Andrew received his J.D. from New York Law School in 2001, where he was Editor of the New York Law School Law Review. He received his B.A. from Georgetown University in 1990. Andrew is admitted to practice in New York. Prior to law school, Andrew served in the U.S. Army 236th Medical Company (AA) as a Crew Chief on a MEDEVAC helicopter.
