David Gingold is a corporate and securities lawyer whose practice is concentrated in structured finance, securitization and derivatives. He has a wide range of experience representing underwriters, issuers, collateral managers, investors, loan sellers, and swap providers in various types of public and private securities offerings and structured finance transactions. Along with representing clients in connection with debt and equity offerings, David provides clients with advice regarding the structuring, ongoing operation, trading and liquidation of various types of public and private securitizations, including cash, synthetic, commercial real estate-backed and hybrid collateralized debt obligations, collateralized loan obligations (CLOs), ABS warehouse financings, permanent asset-backed portfolio financings, repackagings, and fixed and floating rate commercial mortgage securitizations.
In particular, David is regular CMBS issuer and loan seller counsel to an international bank and assisted the institution in setting up its platform. David also assisted another international bank in setting up its CLO warehouse lending and arranging platform and regularly represents the bank on CLOs and on a variety of other asset-backed financing transactions. In addition, David regularly represents a major investment bank with respect to investing in CLOs and liquidating CLOs, ABS CDOs and other types of structured financings.
David served as one of the primary attorneys in Cadwalader's representation of the United States Department of the Treasury in its Community Development Capital Initiative, helping to develop documentation and overseeing the closing of more than 70 investments with a variety of banks and credit unions.
Additionally, David has significant experience representing counterparties in derivatives transactions, including credit default swaps, total return swaps, and interest rate and basis swaps. He also has experience in mergers and acquisitions, leveraged lease financing, and general corporate counseling.
David received his B.A. from Williams College and his J.D. from the University of Michigan Law School. He is admitted to practice in the State of New York.
