Elena Bernal is a special counsel in the Capital Markets Group in Cadwalader’s London office, focusing on structured finance transactions.
Elena advises European and US banks, non-bank lenders and private credit funds on leverage facilities secured by private credit, middle-market and broadly-syndicated loan portfolios. She provides ongoing advice throughout the facilities’ lifecycle, including on compliance with the European and UK risk retention and transparency requirements, syndications, amendments and waivers, and refinancing and exit solutions.
In addition to private leverage facilities, Elena acts on a variety of CLO transactions representing CLO managers and arrangers on warehousing facilities, CLO take-outs, refinancings in whole and in part, and CLO investment vehicles. Elena also has a broad structured finance and capital markets experience including securitisations of residential mortgages, auto loans and consumer loans, private placements, debt capital markets and liability management transactions.
In 2020, Elena was seconded to a derivatives team in a major UK bank to assist with the LIBOR transition. She was also seconded to the structured products teams at Goldman Sachs and Lloyds Bank, and to the DCM transaction management team in Merrill Lynch.
