Ellen Kornfield Fogel is a staff attorney in the Cadwalader’s Finance Group.
Ellen has experience in a variety of commercial real estate transactions, including representing institutional lenders and investment banks in connection with the origination and securitization of CMBS mortgage loans (both single asset and pools), as well as mezzanine financing and other subordinate financing. Ellen also has experience in real estate acquisitions and sales of office buildings, and office parks, hotels, gas stations, residential apartment buildings, and department store chains and has represented users in build-to-suit office building transactions. Ellen has negotiated and prepared Master Leases for a Real Estate Investment Trust and in connection with the merger and acquisition of a company leasing over 1,000 properties.
She also has experience with many types of commercial finance transactions, including representing lenders in connection with syndicated and participated loans, accounts and receivable financing, factoring and debtor-in-possession financing.
Prior to rejoining Cadwalader, Ellen was counsel in the real estate department of Akin, Gump, Strauss, Hauer & Feld, L.L.P., an associate in the commercial finance and banking departments of Ruskin, Moscou, Evans & Faltischek, P.C., in Mineola, New York, and a real estate associate at Chadbourne & Parke LLP. Ellen was also special counsel at Cadwalader from 1999 to 2008.
Ellen received her B.A., cum laude, in 1986 from the State University of New York at Albany and her J.D. in 1989 from Brooklyn Law School. While attending law school, she was a student law clerk to the Honorable Jack B. Weinstein and the Honorable Henry Bramwell of the United States District Court for the Eastern District of New York. She is the co-author of “Construction Lending in the New Millennium: What a Lender Needs to Know Before Making a Construction Loan,” Capital Sources for Real Estate (Vol. 6, Numbers 4, 5, 6). Ellen is a member of the New York State Bar.
