Jack Andrew Kelly is a special counsel in the Financial Services Group based in Cadwalader’s London office specialising in fund formation and impact investing.
Jack’s practice involves advising sponsors and asset managers in respect of the structuring, formation and promotion of investment funds with a particular focus on funds investing in real estate, private equity, credit, renewable energy, infrastructure and emerging markets. He also provides ongoing advice in respect of secondary fundraising, fund restructures, implementation of debt facilities, mergers and acquisitions, secondaries and exits.
In addition to fund formation, Jack regularly advises institutional investors, pension funds and impact investors (including many of the European development finance institutions) in respect of their investment in funds.
Jack has over a decade of experience advising on complex multi-jurisdictional fund structures and has expertise in both private investment funds and publicly listed investment companies.
Chambers UK (2022, 2023 and 2024 editions) ranks Jack as an “Associate to Watch” and is described as “highly competent, very responsive and gives partner-quality advice” and as being “very practical and has a good knowledge and understanding of clients' needs.” Legal 500 UK (2022, 2023 and 2024 editions) recognises Jack in the Private Funds category in respect of his work in social infrastructure and renewable energy. He is also recognised in the 2023 and 2024 editions of Best Lawyers: Ones to Watch in the United Kingdom in the Investment Funds and Private Equity categories.
Prior to joining Cadwalader, Jack was a senior associate at a global law firm in London, and also practised as a solicitor in Sydney.
Jack obtained a Bachelor of Laws (First Class Honours) and a Bachelor of Business (International Business) from the University of Technology, Sydney. He is admitted to practise as a solicitor in New South Wales, Australia.
