John Lambillion is an associate in Cadwalader’s Financial Restructuring Group based in London.

John’s practice focuses on debt finance, special situations, restructuring and insolvency.

John has over a decade of experience and has worked on numerous complex domestic and cross-border debt financing, special situations, restructuring and insolvency transactions, advising all types of stakeholders (including debtors, creditors, trustees and insolvency practitioners) on a wide variety of transactions and situations including with respect to loan originations, capital market transactions, secondary debt acquisitions, distressed M&A, schemes of arrangement, restructuring plans, administrations and company voluntary arrangements. His experience at prior firms also includes secondments at a CMBS loan servicer and international bank.

John also regularly advises investment banks, credit funds, private equity houses, asset managers, other debt investors and financial advisors in their review, diligence and strategy with respect to primary and secondary European and US investment opportunities in par, stressed and distressed transactions.

  • Syndicate of banks in respect of a Funds at Lloyds letter of credit facility in a complex, cross-border restructuring of a listed insurance group.
  • The Lifeways Group and its directors on seven inter-conditional restructuring plans proposed under Part 26A of the Companies Act 2006.
  • Searchlight Capital Partners and Invesco Senior Secured Management as an investor group of first and second lien lenders on the refinancing of the Mediapro group of companies.
  • International multi-strategy asset manager in connection with the Nordic Aviation Capital group of companies.
  • Ad-hoc group of convertible noteholders in respect of notes issued by intu (Jersey) 2 Ltd and guaranteed by intu Properties plc in restructuring negotiations and the administration of the Jersey issuer.
  • Eva Automation, Inc. in complex, multi-party, cross-border, negotiations with its secured lenders regarding the distressed sale of its subsidiary, Bowers & Wilkins.
  • International credit fund in connection with its holdings of Enhanced Capital Advantaged Preferred Securities issues by entities within the Lehman Brothers group of companies.
  • Spartan Races, Inc. on the acquisition of Tough Mudder Limited implemented by way of pre-pack administration.
  • Group of underwriters (comprising BlueBay Asset Management, Cheyne Capital, Apollo Management, Tikehau Capital and Hudson Bay Capital) on the successful recapitalization of the Lecta S.A. group of companies.
  • Coordinating committee of noteholders on the comprehensive financial restructuring of €675 million in bank and bond debt of the Lecta S.A. group of companies, implemented by way of an English scheme of arrangement, US Chapter 15 filing and Spanish homologación.
  • New Look Retailers Limited in its company voluntary arrangement.
  • Global investment management fund in connection with its role on the Coordinating Committee of Steinhoff Europe AG.
  • Ad-hoc committee of noteholders on the £700 million recapitalization of The Co-operative Bank p.l.c., involving two schemes of arrangement, a noteholder LME, a restructuring of the Bank’s pension liabilities and a new regulated structure for the ownership and management of the Bank.
  • Worldview Capital Management on the acquisition of the Petroceltic International plc group of companies, the subsequent examinership process, the restructuring of the acquired bank debt and the corporate restructuring of the company and its group subsidiaries.
  • Starwood Capital in the distressed acquisition of a hotel and residential portfolio.
  • Advised Gulf Keystone Petroleum on its balance sheet restructuring in the form of a debt-to-equity conversion implemented by way of an English scheme of arrangement.
  • EA Partners I B.V. on its debut issue of $700 million 6.875% notes due 2020, the proceeds of which were on-lent to Etihad Airways. Also advised on the follow-on financing platform established by EA Partners II B.V., and the issues that arose from the administration of Alitalia and the insolvency of Air Berlin.
