Profile
Joey Polonsky is a partner in Cadwalader’s Charlotte office. He advises banks, direct lenders and other financial institutions that provide companies with the liquidity necessary to make acquisitions, refinance existing debt, make dividends to equity holders, and restructure their balance sheets. He works closely with public companies, large cap companies, sponsor-backed companies and privately held companies on how to structure complicated financings and debt & equity restructurings, including for first lien and second lien financings, asset-backed financings, unitranche financings, FILO financings, unsecured financings, and DIP financings.
Joey received his law degree from the University of North Carolina at Chapel Hill, where he graduated with high honors and was inducted into the Order of the Coif. While at UNC Law, he was an Articles Editor for the North Carolina Law Review and he was awarded the Gressman-Pollitt Award. He served for three years on the UNC Law Pro Bono Board, and was one of eight members of his class inducted into the James E. and Carolyn B. Davis Society.

- Represented Arbour Lane Capital Management as administrative agent and lender on its first lien senior secured credit facility to a leading home security system company.
- Represented Barings LLC as lead arranger and lender on its $38.7 million senior secured term loan to Coherus Biosciences, Inc., a commercial-stage biopharmaceutical company focused on the research, development, and commercialization of innovative immunotherapies to treat cancer and the commercialization of our portfolio of FDA-approved therapeutics.
- Represented Citizens Bank as lead arranger and administrative agent on its first lien senior secured credit facility to an investment management and financial planning company.
- Represented MUFG Bank, Ltd. as administrative agent and joint lead arranger in a $3.5 billion credit facility for Berkshire Hathaway Energy Company.
- Represented JPMorgan Chase Bank, N.A. as administrative agent and joint lead arranger in a $1.2 billion credit facility for PacifiCorp.
- Represented JPMorgan Chase Bank, N.A. as administrative agent and joint lead arranger in a $900 million delayed draw term loan credit facility for PacifiCorp.
- Represented Mizuho Bank, Ltd. as administrative agent and joint lead arranger in a $1.5 billion credit facility for MidAmerican Energy Company.
- Represented Wells Fargo as administrative agent and joint lead arranger in a $400 million credit facility for Nevada Power Company.
- Represented Wells Fargo as administrative agent and joint lead arranger in a $250 million credit facility for Sierra Pacific Power Company.
