Nicholas Luciano is an associate in the Corporate Group. His practice is focused on corporate law, with an emphasis on securities law compliance, public company reporting and corporate governance. Nicholas represents public and private companies as well as underwriters in a broad range of complex transactional matters, including initial public offerings, follow-on offerings, private investment in public equity (PIPE) offerings, high-yield and investment grade debt offerings, at-the-market (ATM) offerings and special purpose acquisition company (SPAC) transactions. In addition, Nicholas advises clients on Securities and Exchange Commission (SEC) reporting and disclosure requirements, stock exchange rules and general corporate matters.
Nicholas received his J.D., cum laude, from New York Law School, where he was an Articles Editor of the New York Law School Law Review, and his B.S., magna cum laude, in Finance from Seton Hall University. He is admitted to practice in New York and New Jersey.
