Ron Lovelace focuses on leveraged finance and other debt financings. A partner in our Finance practice and Head of Leveraged Finance, Ron represents financial institutions, lenders, investors and borrowers in a variety of transactions.

Ron advises banks, arrangers and other institutions in leveraged finance and debt financings. He has particular experience with negotiating asset-based, acquisition and working capital financing in the retail, media, defense, telecommunications, professional sports and energy industries. He is also experienced in restructuring distressed credits.

Ron was named to the 2024 Lawdragon 500 Leading Dealmakers in America, and has been recognized in the 2024 edition of Chambers USA for Banking and Finance.

  • Represented Citizens Bank, as lead arranger, in connection with a $350 million term loan facility in favor of a publicly traded software as a service company.

  • Represented Wells Fargo as administrative agent in an up to $500 million revolving credit facility to finance an acquisition for Ironwood Pharmaceuticals, Inc., a publicly traded healthcare company which engages in the development, manufacturing and commercialization of pharmaceutical products.
  • Represented JPMorgan, Wells Fargo, MUFG and Mizuho as joint lead arrangers on five separate revolving credit facilities for Berkshire Hathaway Energy and its subsidiaries in an aggregate amount of up to $8 billion. 
  • Represented Wells Fargo as administrative agent in an up to $400 million revolving credit facility for Silicon Laboratories Inc., a technology company which designs and manufactures semiconductors, other silicon devices and software.
  • Represented JPMorgan as administrative agent in a $2 billion revolving loan credit facility for Oncor Electric Delivery.
  • Represented Citizens Bank as lead arranger and administrative agent in connection with $825 million in senior secured credit facilities for SMART Global Holdings.
  • Represented JPMorgan as administrative agent in senior secured credit facility for a private equity backed dermatology practice.
  • Represented Citizens Bank as lead arranger and agent in a $1 billion investment grade senior revolving credit facility for Hexcel Corporation.
  • Represented Citizens Bank as lead arranger and agent in $500 million senior credit facilities consisting of a $100 million revolving credit facility and a $400 million term loan facility for Ribbon Communications.
  • Represented Wells Fargo as administrative agent in an up to $250 million revolving credit facility and letter of credit facility, with an up to $125 million incremental credit facility, for Astec Industries, Inc.,  a manufacturer of specialized equipment for asphalt road building, aggregate processing and concrete production.
  • Represented Wells Fargo as administrative agent, swingline lender and L/C issuer in a $650 million revolving credit facility for Fox Factory Holding Corp., a designer and manufacturer of high-performance suspension products for bicycles and off- and on-road vehicles.
  • Represented Wells Fargo as sole lead arranger in a $325 million term loan B, with an up to $100 million accordion feature, for Ravago SA, a distributor and reseller of plastic resins in North America and Latin America.
  • Represented Wells Fargo as administrative agent, joint lead arranger and joint bookrunner in a $750 million senior secured credit facility, comprising a $600 million revolving credit facility and a $150 million delayed draw term loan, for OSI Systems, a designer and manufacturer of specialized security and inspection systems.
  • Represented lead arranger and administrative agent in providing a $460 million and €125 million financing for the acquisition of a French components manufacturer by a publicly held aerospace and defense company.
  • Represented lead arranger and administrative agent in providing a $450 million senior secured credit facility (secured on a pari passu basis with a $250 million issuance of senior secured private placement notes) to a privately held battery manufacturer.
  • Represented lead arranger and administrative agent in providing a $1 billion senior unsecured credit facility to a public utility.
  • Represented lead arranger and administrative agent in providing a $200 million senior secured financing for the acquisition of an engine components manufacturer by a financial sponsor.
